By accessing or using ProofMark ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ProofMark provides watermarking and image protection services, including but not limited to:

  • Image watermarking with customizable styles
  • Forensic proof verification technology
  • Image size conversion tools
  • Reverse image search capabilities
  • Batch processing features

3. User Accounts

3.1 Registration: You must provide accurate, current, and complete information during registration.

3.2 Security: You are responsible for maintaining the confidentiality of your account credentials.

3.3 Account Use: You may not share your account or transfer it to another person without our written consent.

4. Subscription Plans

4.1 Free Plan: Limited to 3 watermarks per month with basic features.

4.2 Pro Plan: Unlimited watermarks with full feature access for $9.99/month.

4.3 Founding Member Guarantee: Early subscribers lock in the $9.99/month rate as long as they maintain continuous subscription.

4.4 Billing: Subscriptions automatically renew unless canceled before the renewal date.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Upload content you do not own or have rights to
  • Attempt to reverse engineer or access our source code
  • Abuse, harass, or harm other users
  • Distribute malware, viruses, or harmful code
  • Use automated tools to scrape or extract data from the Service
  • Circumvent usage limits or technical restrictions

6. Intellectual Property

6.1 Your Content: You retain all rights to images you upload. By using the Service, you grant us a limited license to process and store your images solely to provide the Service.

6.2 Our Property: The Service, including software, design, trademarks, and technology, is owned by ProofMark and protected by copyright and intellectual property laws.

6.3 Watermarked Images: Watermarked output images belong to you. The forensic proof technology and metadata remain our proprietary technology.

7. Forensic Proof Technology

ProofMark embeds forensic metadata in watermarked images to help verify ownership. While we employ robust technology:

  • We cannot guarantee 100% protection against all forms of image manipulation
  • Forensic proof is a tool to assist in ownership verification but does not constitute legal ownership itself
  • You are responsible for maintaining original copies of your work
  • ProofMark is not liable for disputes arising from ownership claims

8. Data Storage and Deletion

8.1 Storage: Uploaded images and watermarked outputs are stored securely for the duration of your account.

8.2 Retention: We retain forensic proof records for verification purposes.

8.3 Deletion: Upon account cancellation, your uploaded images will be deleted within 30 days. Forensic proof records may be retained for legal and verification purposes.

9. Termination

9.1 By You: You may cancel your subscription at any time through your account settings.

9.2 By Us: We may suspend or terminate your account if you violate these Terms or engage in fraudulent activity.

9.3 Effect: Upon termination, your right to use the Service immediately ceases.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free operation
  • That defects will be corrected
  • Complete protection against copyright infringement
  • Specific results from using the Service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFMARK SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or goodwill
  • Service interruptions or data breaches
  • Third-party claims arising from your use of the Service

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold ProofMark harmless from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Content you upload to the Service

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
